Ethical Conduct

Purpose

Belgrave & Rothford is committed to conducting its business with integrity, due care and respect for the law.

This Ethical Conduct Statement describes the standards that inform our relationships with clients, creators, partners, suppliers, advisers, event participants and other professional contacts.

It is intended to provide a clear account of our approach to responsible commercial conduct. It does not create a separate contract or enlarge any obligation owed under an existing agreement.

Integrity of conduct

B&R shall seek to act honestly and in good faith. We shall not knowingly mislead a client, creator, partner, supplier, adviser or other person concerning the nature of a relationship, the basis of a recommendation, the availability of an opportunity, the existence of a commercial arrangement or the likely outcome of an activity.

We shall distinguish between fact, opinion, estimate, forecast and aspiration where that distinction is material.

We shall not present attention, audience size or visibility as a substitute for commercial relevance, suitability, reputation, consideration, enquiry, conversion or long-term value.

Improper influence

B&R does not offer, solicit or accept bribes, secret commissions or improper inducements.

No relationship, introduction, recommendation, publication, appointment or commercial opportunity may be purchased through an undisclosed benefit or arranged in a manner intended to improperly influence a decision-maker.

Any remuneration, referral arrangement, commission or commercial interest that may reasonably affect independence or perception shall be disclosed where appropriate.

Fraud and unlawful conduct

B&R shall not knowingly participate in fraud, money laundering, sanctions evasion, tax evasion, deliberate deception, concealment of material information or the misuse of another person’s identity, data, property or intellectual property.

Where B&R reasonably suspects that information or conduct may involve crime, fraud or another serious breach, it may investigate, restrict activity, decline involvement or disclose information to an appropriate authority where legally permitted or required.

Fair treatment and inclusion

B&R expects professional relationships to be conducted with courtesy, respect and fairness.

We do not support unlawful discrimination, harassment, intimidation, abuse, victimisation or exploitation. Decisions concerning engagements, opportunities and relationships should be based upon relevant considerations such as suitability, capability, timing, commercial alignment, reputation and legitimate business requirements.

Environmental and social responsibility

B&R recognises that commercial activity may have environmental and social consequences. We expect suppliers and partners to act responsibly and to avoid unnecessary waste, unlawful environmental harm and exploitative practices.

B&R shall not make environmental, social or ethical claims that it knows to be false, materially incomplete or incapable of reasonable substantiation.

Responsible use of information and content

B&R shall seek to use personal, confidential and commercially sensitive information only for lawful and legitimate purposes.

Content, images, recordings, endorsements, audience information and other materials must be used within the scope of the relevant permission, contract or lawful basis.

No person should assume that material made available to B&R may be published, reproduced, transferred or commercially exploited without appropriate authority.

Raising concerns

B&R may request further information, preserve relevant records, investigate the matter and take appropriate action. The response will depend upon the seriousness and nature of the concern, the available evidence, legal obligations and the need to protect confidentiality and the rights of affected persons.

B&R shall not knowingly penalise a person for raising a genuine concern in good faith. This does not prevent B&R from addressing complaints that are knowingly false, malicious or abusive.

Review

B&R may review these statements periodically and amend them where necessary to reflect changes in its business, legal obligations, services, relationships or operating environment.

The current versions shall be published through the B&R website and shall apply from the effective date stated in each document.
